This Document Serves as an Electronic Record in Accordance with the Information Technology Act, 2000, and the Relevant Rules made thereunder, as well as any Amendments Related to Electronic Records in various Statutes as Amended by the Information Technology Act, 2000. Please note that this Electronic Record is generated by a computer system and does not require any Physical or Digital signatures.

This Document is made available in Compliance with the Provisions outlined in Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011. These Regulations mandate the Publication of Rules, Regulations, Privacy Policies, and Terms of Use for accessing or using the DigiBro Website.

This webpage constitutes a legally binding document, serving as our Terms of Use, and establishes the Legal Terms Governing our Website, www.digibro.com, its Sub-domains, and all related web-based and mobile-based properties (collectively referred to as the “Website”). These digital properties are owned and operated by DigiBro.

DigiBro maintains this website (“the Site”) to provide you with Information, Resources, Education, and Communication regarding Our Products and Services. While we encourage you to explore the Website, we request that you carefully review the following Terms and Conditions.

This Website incorporates numerous valuable Trademarks, Names, Titles, Logos, Images, Designs, Copyrights, and other Proprietary Materials owned and Registered by DigiBro and used by the Company in Connection with its Operations.

Before using www.digibro.com or any associated Digital Property of DigiBro (hereinafter referred to as the “Website”), Please take a moment to Read and Understand these Website Terms and Conditions thoroughly. Your access to and use of the Website is contingent upon your Agreement with the Terms and Conditions outlined below.

If you do not agree to all the terms of use, we urge you not to access or use the Website and to exit the Platform Immediately. By accessing or using the Website, you (referred to as “you” or “your”) and the entity you are authorized to represent signify your consent to be Legally Bound by these Terms and Conditions. These Terms and Conditions apply to all Website Users, including but not limited to Registered Members and Visitors. We strongly recommend that you thoroughly review these Terms and Conditions Pertaining to your Legal rights and Responsibilities.

USER ELIGIBILITY

DigiBro administers the Website, which is Exclusively intended for use by individuals and entities who have reached the age of Legal Majority and possess the capacity to enter into Legally Binding Agreements under applicable laws.

You are Not Authorized to use or access the Website if you do not meet these eligibility criteria.

ACCEPTANCE OF TERMS

Your acceptance and commitment to adhere to these Terms and Conditions shall be deemed to take effect from the moment you first access or use the Website. By utilizing the Website and consenting to these Terms and Conditions, you acknowledge that your access to and use of the Website and its Services are exclusively governed by these Terms and Conditions unless expressly stated otherwise.

You agree not to use the Website for any unlawful purpose or in any manner that violates the provisions outlined in these Terms and Conditions. Your continued use of the Website constitutes your Full and Unconditional acceptance of all terms, conditions, and disclaimers contained within this document.

If you are accessing or agreeing to these Terms and Conditions on behalf of your Employer, Organization, or any other entity, you affirm that you are duly authorized to enter into legally binding agreements on their behalf. Furthermore, you confirm that your employer or organization agrees to be bound by these Terms and Conditions.

The Website, including all associated tools and services, is exclusively intended for use within the Territorial jurisdiction of India. DigiBro makes no representation that the Website, tools, or services are appropriate or accessible for use in locations outside India. Accessing the Website or using its services from outside India shall be considered Unauthorized and Unlawful.

DigiBro reserves the right, at its sole discretion, to restrict or terminate access to the Website, tools, or services for any individual, geographic area, or jurisdiction at any time, without prior notice.

MODIFICATION OF THESE TERMS OF USE

DigiBro reserves the right to Modify, Amend, or Update any of the Terms, Conditions, or Notices Governing the use of the Website and the Provision of its Services (“The Service”) at any time and at its sole discretion.

It is your responsibility to Periodically Review these Terms of Use for any Updates or Modifications. Continued use of the Website or any of its Services following the publication of changes constitutes your Acceptance of the Revised Terms and Conditions in full.

Providing authentic and Verifiable details helps us ensure a Secure, Compliant, and Seamless Experience on the DigiBro Platform. You agree to maintain the confidentiality of your account Credentials and to Notify DigiBro Immediately of any Unauthorized use of Your Account or Security Breach.

DigiBro shall not be Liable for any loss or Damage arising from your Failure to maintain the Confidentiality of Your Account Information.

YOUR OBLIGATIONS

1. User Commitments

By accessing and utilizing the DigiBro Website, you hereby affirm, guarantee, and agree to the following:

a) You shall provide True, Accurate, Current, and Complete Information about yourself as requested in registration forms or templates on the DigiBro Platform, or as otherwise required by the Company.

b) You shall ensure that your user account and credentials are used solely by you and not shared with or accessed by any other person.

c) You agree not to register or log in on behalf of Another Individual or allow any other person to register or log in under your account.

d) You shall not use another user’s account for any purpose.

e) You are responsible for maintaining the confidentiality and security of your password, user ID, and other access methods assigned to you.

f) You agree to Promptly Update your registration data and any other information provided to ensure accuracy and completeness.

g) You acknowledge and accept Full Responsibility for all activities carried out through your account, whether or not Authorized by you.

h) You agree not to attempt Unauthorized access to Password-Protected or Restricted Sections of the DigiBro Website by any means other than through the authorized access methods provided by the Company

YOUR OBLIGATIONS

2. Declaration of Non-Requirement for GST Registration

In accordance with the Goods and Services Tax Act, 2017, if you are not required to obtain Registration under the Act, you must make the following declaration:

“I hereby confirm that, as per the provisions of the Goods and Services Tax Act, 2017, I am not required to register under the Act due to my turnover being below the taxable limit prescribed therein. I also commit to promptly provide all necessary details and documentation if, during any financial year, registration under GST becomes mandatory. I understand that providing false information in this declaration may subject me to legal and penal consequences, for which I assume full responsibility. Please consider this Electronic Acceptance as my declaration of non-obligation for GST registration under the Goods and Services Tax Act, 2017.”

YOUR OBLIGATIONS

3. Privacy

Any information you provide or that we collect during your registration and use of the Website is governed by the DigiBro Privacy Policy.

We reserve the right, in accordance with the Privacy Policy, to disclose User Information (including registration data) under the Following Circumstances:

a) To comply with applicable Laws, Regulations, Legal Processes, Subpoenas, or Governmental requests;

b) To enforce these Terms and Conditions; and/or

c) To protect the rights, Property, or Safety of DigiBro, its Affiliates, Third-Party Providers, Users, or the General Public.

OUR WEB PORTAL – RATES, SERVICES, AND TARIFF

Your use of DigiBro’s web portal Services is subject to the Prevailing rates and service terms specified in the Web Portal Rates applicable to your selected services.

Any relevant tariffs, as may be applicable to your usage, shall also apply and govern your interaction with DigiBro’s platform.

These terms, combined with the specific Service Agreements you may enter into, collectively define the terms of your service engagement with DigiBro.

RULES ABOUT USE OF THE SERVICE AND THE WEBSITE

DigiBro is committed to promptly addressing and rectifying any Errors or missions upon notification. However, we do not Warrant that the Website or Services will be entirely error-free. If you encounter any issue, please contact our Customer Support at 9515161624.

While we strive to ensure Uninterrupted Access to the Website and Services, DigiBro does not guarantee continuous or Fault-Free Operation. Access may Occasionally be Suspended, Restricted, or Terminated due to Maintenance, Upgrades, or Unforeseen Circumstances.

DigiBro does not warrant that the Website or its Services are free from Viruses, Malware, or other Harmful Components that may affect Technology. Users are advised to use appropriate Security Software.

The Merchant agrees not to engage in or facilitate any Cash Collection or Settlement through DigiBro’s Employees, Agents, or Officers. The Merchant shall Indemnify and Hold DigiBro Harmless from any Loss or Liability arising from Unauthorized Cash Transactions. Merchants must ensure that their DigiBro Account is Sufficiently Funded to avail of the Services.

DigiBro reserves the right to Modify, Suspend, or Remove any information or services on the Website without prior notice. Access may be temporarily restricted for maintenance or feature updates, and DigiBro shall make reasonable efforts to restore access promptly.

DigiBro reserves the right to Restrict access, Modify, or Delete any content that, in its discretion, is found to violate these Terms and Conditions.

All data and information collected from Third Parties are Transmitted to the respective Channel Partners as per the Applicable Agreements. Under this Agreement, DigiBro Grants you a Limited, Revocable, Non-Transferable, and Non-Exclusive License to access and use the Website. Any breach of these Terms shall result in Immediate Termination of this License without notice.

You are Prohibited from engaging in any Commercial Use of the information, Content, or Material available on the Website, or using it for the Benefit of Another Business, unless you have received DigiBro’s prior written consent.

USE OF SITE

Subject to the Terms and Conditions outlined in this Agreement, the DigiBro Website Provided by DigiBro grants you a Limited, Revocable, Non-Transferable, and Non-Exclusive License to Access and Utilize the Platform. Please note that any Violation of this Agreement will Result in the Immediate Revocation of the License specified in this paragraph, and such action may be taken without Prior Notice.

Except for the Permissions Granted above, you are Not Authorized to reproduce, Distribute, Display, Sell, Lease, Transmit, create derivative works from, Translate, Modify, Reverse-Engineer, Disassemble, Decompile, or Exploit this Website or any of its components unless explicitly Permitted in writing by DigiBro. Commercial use of the information Provided on the Website, or use of the website for the Benefit of Another Business, is Strictly Prohibited unless expressly Authorized by DigiBro in advance.

Furthermore, DigiBro reserves the right to refuse service and exercise discretion in terminating accounts, especially if it believes that a user's conduct Violates Applicable Laws, Poses a Risk to the Company's Interests, or if User Data hosted on its servers is found to be in breach of the Law.

You are prohibited from Uploading, Distributing, or otherwise disseminating any Content, Information, or other Materials through this website that:

Infringes upon or violates the Copyrights, Patents, Trademarks, Service Marks, Trade Secrets, or any other Proprietary rights of any individual or entity
Contains content that is Defamatory, Threatening, Libelous, Obscene, Indecent, Pornographic, or that may result in civil or criminal Liabilities under Indian Law
Contains any Bugs, Viruses, Worms, Trap Doors, Trojan Horses, or any other Harmful Code or Elements
Engages in criminal or Tortious Activities, including but not limited to pornography, Child Exploitation, Fraud, Trafficking in obscene material, Drug Dealing, Gambling, Harassment, Stalking, Spamming, Transmission of Viruses, Copyright Infringement, Patent Infringement, or Theft of Trade Secrets
Utilizes any information acquired from the website with the intent to harass, abuse, or harm another individual

IT ACT, 2000 COMPLIANCE

In accordance with Rule 3 of the Regulations established under the Information Technology Act, 2000, under clause (zg) of sub-section (2) of section 87, in conjunction with sub-section (2) of section 79, the users of this platform are strictly prohibited from hosting, displaying, uploading, altering, publishing, transmitting, updating, or sharing any information that:

Infringes upon the rights of another person and is not lawfully owned by the user
Contains content that is harmful, harassing, blasphemous, defamatory, obscene, pornographic, related to child exploitation, invasive of privacy, hateful, racially or ethnically objectionable, disparaging, linked to illegal activities such as money laundering or gambling, or otherwise violates any applicable law
Harms minors in any manner
Violates patents, trademarks, copyrights, or any other proprietary rights
Breaches any applicable law currently in force
Misleads the recipient about the origin of messages or conveys any information that is grossly offensive or menacing in nature
Impersonates another person or entity
Contains software viruses or any other code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource
Threatens the unity, integrity, defense, security, or sovereignty of India, jeopardizes friendly relations with foreign states, disturbs public order, incites the commission of a crime, impedes the investigation of any offense, or shows disrespect toward any nation

TECHNICAL PROCESSING

Given the global nature of the internet, the user Acknowledges and consents that certain technical procedures for communication and transmission may be necessary. These may include adherence to Technical Specifications of connecting networks, adjustments for Service Constraints, or Compliance with other technical requirements essential for the operation of DigiBro's online services.

DATA PROTECTION

DigiBro shall not be held responsible for any Corruption, Misrepresentation, or Loss of Data Submitted by you, Including but not limited to Credit Card, Debit Card, E-wallet, or other Electronic Payment Details. Personal data provided by you during the use of this website is governed by our Privacy Policy. Registration information and other related data are also managed and protected under the same policy framework.

PRIVACY POLICY

The use of the website and all related services is subject to the DigiBro Privacy Policy, which governs the collection, use, and protection of user information. Users are encouraged to review the Privacy Policy to understand how their information is handled.

All information, products, and services provided on this website are offered on an "as is" basis without any express or implied warranties. DigiBro expressly disclaims all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

DigiBro makes no representations or guarantees regarding any third-party websites that you may access through this website or that may link to this website. Accessing any such third-party links is done at your own discretion and risk.

LIMITATION OF LIABILITY

The features and services offered on the website are provided on an "as is" and "as available" basis. The DigiBro platform explicitly disclaims all Warranties, whether express or Implied, including but not limited to Warranties of Condition, Quality, Durability, Performance, Accuracy, Reliability, merchantability, or fitness for a particular purpose. This disclaimer extends to all Warranties, Representations, Conditions, Commitments, and Terms, all of which are hereby excluded to the fullest extent permitted by Law.

DigiBro shall not be held responsible for any issues or technical malfunctions related to Telephone Networks, Online Systems, Servers or Providers, Computer Equipment, Software, Email Failures, or Internet Congestion whether such issues arise within the DigiBro Website or the Suite of Services Provided by DigiBro, or any Combination thereof.

DigiBro assumes no responsibility for any Errors, omissions, Interruptions, Deletions, Defects, Theft, Unauthorized access, Alterations, or Any illegal Transactions associated with content uploaded by users. Please note that DigiBro functions as a Digital Intermediary and bears no Liability for any Unlawful or Unauthorized Transactions Carried out through the Platform.

While DigiBro endeavors to ensure that the Information Displayed on its website is Accurate and up to date, it does not assume Liability for any Inaccuracies or Errors found in the content uploaded or published by users or Partners, Including Inaccuracies resulting from Human Error, Technical Malfunction, or Software Failure.

The total aggregate Liability of DigiBro to any use whether arising from Contract, Tort, Negligence, or Otherwise shall be strictly limited to the amount paid by the user for the specific service giving rise to such a claim.

Under no circumstances shall DigiBro be held liable for any delay, failure, or disruption in service delivery caused by circumstances beyond its reasonable control. Such circumstances include, but are not limited to, Natural Disasters, Internet Failures, Equipment Malfunction, Power Outages, Labor Disputes, shortage of materials, acts of God, war, governmental restrictions, court orders, civil unrest, riots, or third-party non-performance.

Furthermore, DigiBro shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of profits, data, goodwill, or business interruption), arising out of or in connection with any of the following:

Any defect in products, samples, data, or information obtained from users or third-party service providers via the website

Violations of third-party rights or claims arising from user-uploaded content or services that allegedly infringe on third-party intellectual property

Unauthorized access by third parties to user data or confidential information

Any statements, representations, or conduct by other users on the website

Any matters relating to premium or paid services offered through the platform

DIGIBRO'S SERVICES

Upon successful registration on the DigiBro website or mobile application, users become eligible to access and utilize various financial and digital services available on the platform. These services are provided through authorized financial institutions, including but not limited to banks, non-banking financial companies (NBFCs), and other licensed entities in compliance with applicable Indian laws (collectively referred to as "Financial Service Providers").

The user acknowledges and agrees that DigiBro does not itself provide financial services and merely acts as a facilitator or intermediary platform connecting users with third-party service providers. Consequently, DigiBro does not warrant, endorse, guarantee, or assume responsibility for any financial product, service, offer, or representation made by such third parties.

The user further acknowledges that the Financial Service Providers and other integrated partners may have their own terms and conditions governing the use of their respective products and services. Therefore, users may be required to separately agree to such third-party terms and conditions before availing themselves of specific financial or digital services.

CANCELLATION AND REFUND POLICY

In the event of cancellation of any booking or transaction made through the DigiBro platform (including, but not limited to, bus, train, or flight ticket bookings), please note that DigiBro shall not be held responsible for processing or issuing refunds directly.

In situations where cancellations occur due to operational reasons or unforeseen circumstances (such as bus or flight cancellations), the facilities or refunds provided by the respective service providers or ticketing companies will be extended to the user, in accordance with their individual refund policies. DigiBro does not exercise control over the refund or cancellation procedures of such third-party providers.

If a retailer, distributor, or master distributor initiates a cancellation for any transaction, DigiBro reserves the right to retain or adjust the applicable cancellation fees from the retailer's wallet balance, settlement amount, or reserve account, as per the company's operational policy. Any associated fees, penalties, or administrative charges may also be deducted from such amounts.

Refunds, once processed and approved, shall be credited to the user's DigiBro wallet. Users are required to utilize such wallet credits within one (1) year from the date of refund issuance. Unused wallet credits beyond this period may be forfeited as per company policy.

TERMS OF AGREEMENT FOR ONLINE PAYMENTS

1. DEFINITIONS AND INTERPRETATION

a. "Facility Provider" refers to the Internet Payment Gateway provider with which DigiBro has entered into an arrangement to enable online payments through its respective payment gateway systems.

b. "Merchant" refers to any User, Retailer, Distributor, or Super Distributor making payments to the Company in order to access the services and facilities provided on the DigiBro platform.

1.1. Scope of Services

Subject to the terms and conditions of this Agreement, DigiBro shall provide the online payment services to the Merchant as specified and approved under this Agreement.

1.2. Commencement and Duration

This Agreement shall commence on the Activation Date (the date of service activation or onboarding) and shall remain in force unless terminated in accordance with the provisions contained herein or under the general Terms and Conditions of the DigiBro platform.

1.3. Modification of Terms

DigiBro reserves the right to modify, amend, or update the terms of service, including but not limited to fees, service charges, and settlement timelines, applicable to customers availing of additional services beyond those specifically mentioned in this Agreement. Such modifications may be made at the Company's discretion without prior approval or notice to individual customers.

1.4. Use of Payment Gateway Facility

By agreeing to these terms, the Merchant consents to use the payment gateway services provided by DigiBro exclusively for the purpose of wallet loading to facilitate digital and financial transactions on the platform.

The Merchant may use Credit Cards, Debit Cards, Net Banking, or UPI to perform wallet-loading transactions. The Merchant further acknowledges and agrees to take full responsibility for verifying the authenticity of the cardholder's identity and details before processing any wallet-loading transaction.

In case of any disputes, chargebacks, or payment reversals, the Merchant agrees to independently resolve such disputes in coordination with the respective payment gateway provider and/or card-issuing institution.

UNDERTAKINGS OF THE MERCHANT

In connection with the utilization of the payment gateway facility, the Merchant hereby agrees and undertakes as follows:

2.1. Lawful Usage

The Merchant shall not use the Facility in any manner that violates any applicable law, regulation, or directive, or that may be deemed fraudulent, deceptive, or unlawful. Any such misuse that could lead to investigations, legal proceedings, or reputational harm to the Payment Gateway Provider or DigiBro shall be considered a material breach of this Agreement.

2.2. Confidentiality and Data Usage

The Merchant agrees to use any information related to Cardholders (including name, address, email, contact number, and financial instrument details) provided through the payment gateway solely for the purpose of completing legitimate transactions.

The Merchant shall not distribute, share, sell, or disclose such information to any third party unless:

such information was independently obtained by the Merchant; or
the Cardholder has provided explicit written consent to such disclosure

2.3. Compliance with Laws and Guidelines

The Merchant shall ensure full compliance with all applicable laws, rules, regulations, and guidelines governing electronic payments, anti-money laundering (AML), and data protection.

If the Merchant's actions or misuse of the Facility cause or may cause additional legal or financial liability to DigiBro, such conduct shall be deemed a breach of this Agreement. In such cases, DigiBro reserves the right to immediately revoke the Facility and terminate the Agreement without prior notice.

2.4. Liability for Cardholder Complaints

The Merchant acknowledges and agrees that DigiBro shall not be responsible for any complaints, disputes, or claims raised by cardholders concerning inaccurate transactions, expired payment methods, or any other service deficiencies.

The Merchant shall bear full responsibility for addressing and resolving all such complaints at its own cost and expense. DigiBro will not entertain or mediate any disputes directly between the Merchant and Cardholders.

2.5. Cardholder Support and Query Resolution

The Merchant agrees to cooperate with DigiBro in providing secondary-level support for resolving Cardholder-related queries, including those concerning the validity or accuracy of payment information, bill payments, or wallet loads.

While DigiBro may facilitate technical assistance, the Merchant remains solely responsible for resolving any disputes or queries related to:

Cardholder's payment instructions or standing mandates

2

Transaction failures due to Merchant-side errors

3

Discrepancies in billing or reconciliation

The Merchant shall ensure timely response and resolution of such issues to maintain trust and compliance with regulatory standards.

CHARGEBACKS

3.1. Notification of Chargeback

If the Payment Gateway Service Provider informs DigiBro of the receipt of a Chargeback from a Cardholder, DigiBro shall promptly notify the Merchant regarding such Chargeback. This notification will include relevant details of the disputed transaction as provided by the Payment Gateway Service Provider.

3.2. Submission of Chargeback Documents

The Merchant shall have the right to submit to DigiBro all relevant documents and information (hereinafter referred to as the "Chargeback Documents") related to the Transaction in question. These documents are intended to demonstrate either:

the successful execution of the disputed transaction; and/or
the legitimate delivery of goods or services to the Cardholder in accordance with the Transaction details

If the Merchant intends to submit Chargeback Documents, such documents must be provided within five (5) business days, or within such other time period as may be specified by the Payment Gateway Service Provider, from the date of receipt of the Chargeback notification from DigiBro.

3.3. Non-Submission or Rejection of Chargeback Documents

The Merchant hereby agrees and acknowledges that:

In the event the Merchant fails to provide the required Chargeback Documents within the specified timeframe; or
If the Payment Gateway Service Provider is dissatisfied with the Chargeback Documents submitted by the Merchant

then the Payment Gateway Service Provider shall have the right to instruct DigiBro to reverse the debit of the Chargeback Amount related to the disputed transaction. Accordingly, such Chargeback Amount shall be credited back to the Cardholder's payment instrument.

3.4. Retention and Recovery of Chargeback Amounts

For any transaction resulting in a Chargeback, the Retailers, Distributors, and Super Distributors agree and acknowledge that DigiBro may, at its discretion, retain the Chargeback Amount from their respective wallet balances or settlement amounts.

DigiBro reserves the right to:

Debit the Chargeback Amount, along with any applicable fees, fines, or penalties, from the Merchant's Settlement Amount and/or Reserve

Withhold funds if DigiBro reasonably believes that a Chargeback is likely to occur in connection with a specific transaction

Such withheld funds shall be retained until the earliest of the following:

Confirmation of a Chargeback due to a Cardholder complaint
Expiry of the time period prescribed under applicable laws, regulations, or Card Association Rules for disputing a transaction
Determination that no Chargeback will occur

If DigiBro is unable to recover funds related to a Chargeback for which the Retailer, Distributor, or Super Distributor is liable, such party agrees to reimburse DigiBro for the total Chargeback amount upon demand.

The liable party shall also bear all costs and expenses, including attorneys' fees, legal charges, and recovery expenses, incurred by DigiBro in collecting any outstanding or unpaid amounts.

Upon issuance of a written notice, DigiBro further reserves the right to withhold a specified percentage of each settlement (the "Stipulated Percentage") for a period of one hundred and twenty (120) days (the "Withholding Term"), starting from the date of such notice.

The withheld sums shall be utilized to settle any existing or anticipated Chargebacks. Upon the completion of the Withholding Term, DigiBro shall release any remaining unutilized funds to the Merchant after deducting applicable Chargeback-related liabilities.

The "Stipulated Percentage" represents the ratio of Chargeback Amounts to total Transaction Amounts processed during the term of this Agreement.

3.5. Cardholder Disputes and Refund Obligations

The Merchant acknowledges and agrees that, in cases where payments are disputed by a Cardholder or payer due to:

Unauthorized transactions
Non-delivery of goods or services
Transactions conducted by unknown or fraudulent individuals
Security breaches, phishing, or hacking incidents affecting the Cardholder's login credentials or financial information
Any claim initiated for a refund or Chargeback by the Cardholder or the Payment Gateway Service Provider

The Merchant shall promptly provide documentary evidence confirming successful service delivery to the Cardholder. If such evidence is insufficient or disputed, the Merchant shall make necessary adjustments or refunds to the Cardholder's account and refund the corresponding amount to DigiBro.

DigiBro, in turn, will refund the amount to the Payment Gateway Service Provider, who will process the final refund to the Cardholder, payer, or the disputing entity as per the standard Chargeback process and applicable Card Association rules.

INDEMNIFICATION

4.1. Compliance with Security Practices

The Merchant agrees to strictly adhere to the security standards and procedures mandated under the Information Technology Act, 2000, its accompanying rules, and any relevant regulations or guidelines issued by the Reserve Bank of India (RBI) or other competent authorities.

If any loss or damage is incurred by DigiBro or the Payment Gateway Service Provider due to a security breach, system compromise, or negligence arising from insufficient security controls implemented by the Merchant, its employees, contractors, or agents, the Merchant shall indemnify, defend, and hold harmless DigiBro and the Facility Provider against any claims, losses, damages, liabilities, penalties, actions, or expenses (including legal fees) arising from or related to such breaches.

4.2. General Indemnity

The Merchant shall indemnify and hold harmless DigiBro, its directors, officers, employees, agents, and representatives, from and against any and all losses, damages, costs, or expenses (including reasonable attorneys' fees) resulting from or related to the following:

Any transaction conducted between the Payee and the Merchant, including all contractual or other relationships arising therefrom

b

Any data breach, unauthorized disclosure, or misuse of the Payee's Personal Data attributable to the Merchant or its systems

c

Any fines, penalties, or sanctions imposed by the Sponsor Bank, NPCI, RBI, or any other regulatory or governmental authority as a result of fraudulent, unauthorized, or erroneous payout transactions initiated or executed by the Merchant

4.3. Continuing Indemnification

The Merchant further undertakes and agrees to indemnify, defend, and keep DigiBro fully indemnified at all times from and against any and all actions, suits, proceedings, claims, liabilities (including statutory liabilities), penalties, demands, losses, damages, and/or expenses that may arise in connection with or as a result of:

4.3.1

Any violation of Applicable Laws, including GST, tax regulations, and data protection laws, or any other rules, circulars, or regulatory directives applicable to the Merchant's business activities

4.3.2

Any breach or non-performance by the Merchant of the provisions of this Agreement or any associated schedules, including breaches of confidentiality, intellectual property rights, billing inaccuracies, or Chargeback and refund obligations

4.3.3

Any claim, dispute, or legal proceeding initiated by the Merchant's vendors, suppliers, Cardholders, or any other party against DigiBro in relation to the Merchant's products, services, or business operations

4.3.4

Any act, omission, or negligence of the Merchant, its employees, agents, affiliates, licensees, or Cardholders that causes loss or harm to DigiBro or the Facility Provider

4.3.5

Any claim made by third parties alleging that the Merchant's products, services, or operations infringe upon or violate their intellectual property rights, trademarks, copyrights, or trade secrets. The Merchant shall be responsible for defending any such claims at its own cost and shall indemnify DigiBro and the Facility Provider against any resulting losses, costs, or damages

4.4. Recovery of Indemnified Amounts

If DigiBro or the Facility Provider becomes entitled to any indemnification under this Agreement, DigiBro shall have the right to recover such indemnified amounts directly by debiting the Merchant's Settlement Amount, Reserve, or any other outstanding balance held by DigiBro. DigiBro may also recover such amounts through legal proceedings if necessary.

4.5. Wallet Loading and Transaction Responsibility

Upon acceptance of this Agreement, the Merchant agrees to use DigiBro's Payment Gateway Services solely for wallet loading to facilitate digital financial services offered through the DigiBro platform. The Merchant may use Credit Card, Debit Card, Net Banking, or UPI for this purpose.

The Merchant acknowledges and accepts full responsibility for verifying the Cardholder's identity and payment credentials before processing wallet-loading transactions. Furthermore, the Merchant shall promptly resolve any disputes or errors arising from such transactions and shall indemnify DigiBro against any associated liabilities.

AVAILABILITY OF A PRODUCT OR SERVICE

While the DigiBro website and platform may be accessible from locations outside India, DigiBro makes no representation or warranty that its operations, products, or services are available or suitable for use in any jurisdiction outside the territory of India.

The DigiBro website and its content are not intended to establish jurisdictional claims or representations in any country, state, or territory where DigiBro does not lawfully conduct business.

By accessing and using the DigiBro website, users acknowledge and agree that:

The website is operated exclusively within India
All products and services are governed solely by Indian law
The website's availability outside India does not constitute an offer, solicitation, or intention by DigiBro to operate or conduct business in any foreign jurisdiction

The entire content of the DigiBro website is protected under international copyright and trademark laws. All copyrights and trademarks are owned by DigiBro, its affiliates, or third-party licensors. You are not permitted to distribute, transmit, or reproduce in any form any copyrighted materials, trademarks, designs, or other intellectual and proprietary information belonging to others without obtaining prior written consent from the owner of such rights.

Modifying, copying, reproducing, republishing, uploading, posting, transmitting, or distributing in any manner any materials found on the website—including but not limited to text, slogans, logos, graphics, code, and/or software—is strictly prohibited. You may, however, print or download portions of materials from the website for your personal and non-commercial use, provided that you do not alter or remove any copyright or proprietary notices.

It is the policy of www.digibro.com ("DigiBro's Website") to terminate the membership privileges of any User, Member, or Merchant who infringes upon the intellectual property rights of others upon receiving proper notification from the rightful copyright owner or their authorized representative.

If you believe that your copyrighted work has been copied or posted on DigiBro's website in a way that constitutes infringement, please provide the following information:

INDEMNITY

You ("the User") agree to indemnify and hold harmless DigiBro, its parent company, affiliates, officers, and employees from any claims, losses, or demands (including legal fees) made by third parties arising from:

Your use of DigiBro's Services
Your connection to the DigiBro Platform
Your violation of the DigiBro Terms and Conditions or any other agreement with DigiBro
The infringement or misappropriation by you—or by a third party using your account or credentials—of any intellectual property or other rights of another person or entity

This includes any misuse or unauthorized use of your account, passwords, or access credentials, and any violation of the rights of third parties resulting from your actions.

TERMINATION

This Agreement shall remain in effect as long as you use the DigiBro website. However, DigiBro reserves the right to suspend, restrict, or terminate access to any portion of the website at any time and for any reason, with or without notice.

DigiBro may, at its sole discretion, restrict access or create different levels of access for various users, modify or discontinue any feature, or introduce new ones without prior notice.

Termination may occur in cases including (but not limited to):

If users or merchants provide false information or engage in fraudulent or illegal activities

If users violate any of the terms or conditions outlined in this Agreement

If users utilize the website to send spam or publish repetitive content

4

If users post materials unrelated to legitimate trade or business activity

5

If users impersonate another business or individual

If there is unauthorized access, modification, or misuse of DigiBro's databases or networks

ASSOCIATION / LINKS TO THIRD PARTIES

The DigiBro website may contain links to third-party sites ("Linked Sites," "Affiliates," or "Partner Sites"). DigiBro does not control or endorse the content or products available on these sites and assumes no responsibility for any damages or losses arising from the use of such Linked Sites.

Users are advised to review and comply with the terms of use and privacy policies of any Linked Sites they visit. DigiBro shall not be liable for any communications, transactions, or content received from such third-party platforms.

TERMS AND CONDITIONS RELATING TO ADVERTISERS

DigiBro and its advertisers agree to utilize the DigiBro Network during the agreed term to display advertisements in accordance with this Agreement. The advertiser bears full responsibility for all ad content, placements, and inquiries arising from such advertisements

All intellectual property, including copyrights, trademarks, and design rights pertaining to DigiBro's website and its materials, remain the sole property of DigiBro. Advertisers must obtain prior written permission before using any of DigiBro's materials

Advertisers shall bear full responsibility for any claims or losses incurred by users resulting from advertisements displayed on DigiBro's platform

FEEDBACK

All reviews, comments, and opinions posted by users represent their individual views and are not moderated by DigiBro prior to publication.

However, if any content is found to be defamatory, unlawful, or in violation of community standards, users may report it to customercare@digibro.com.

DigiBro reserves the right to remove or modify such content at its discretion.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed and interpreted in accordance with the laws of India, and any disputes shall fall under the exclusive jurisdiction of the courts of Telangana.

NON-WAIVER

Any failure or delay by DigiBro in enforcing any provision of this Agreement shall not constitute a waiver of DigiBro's right to require compliance at any later time.

SEVERABILITY

If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the intent of the parties as closely as possible, and all remaining provisions shall continue in full force and effect.

STATUTE OF LIMITATIONS

Any legal claim or dispute arising from the use of DigiBro's Services must be initiated within one (1) month from the date the cause of action arises.

Failure to do so shall permanently bar the claim.

33

ENTIRE AGREEMENT

These Terms of Use represent the complete and final understanding between you and DigiBro with respect to the website and its services.

All prior agreements or understandings related to this subject matter are superseded by this Agreement.
